License Terms

Welcome to Chroma Creations. By accessing or using our Chroma Creations products, you agree to comply with and be bound by the License terms and conditions outlined below.

Private Label Rights (PLR) and Master Resell Rights (MRR) Commercial License Agreement

This Commercial Licese Agreement ("Agreement") is entered into by and between Chroma Creations ("Licensor") and the purchaser ("Licensee"). By purchasing any digital PLR/MRR product(s) from Chroma Creations (“Product”), Licensee agrees to be bound by the terms and conditions set forth in this Agreement. This Agreement is effective as of the purchase date of your Product.

1. Grant of License:

Licensor hereby grants Licensee a non-exclusive license to use, modify, and distribute the purchased Product for commercial purposes in accordance with the terms of this Agreement. Licensee is authorized to resell the Product to their customers with Master Resell Rights, and the Licensee can provide sublicenses.

2. Permitted Uses:

Licensee may use the Product for commercial purposes, including but not limited to:

• Rebranding and selling the Product under Licensee's brand;
• Modifying the Product to create derivative works and to suit their specific needs;
• Including the Product in packages or bundles for resale;
• Using the Product as content in commercial blogs, websites, or other digital platforms;
• Using the Product for personal or business purposes;
• Selling the Product to end-users for their personal or business use;
• Reselling or sublicensing the Product to other resellers;
• Modifying, reproducing, or distributing the Product;
• Claiming authorship of the original designs or any parts thereof;
• Using as a lead magnet;
• Using within a paid membership site;
• Using as a free or bonus item within a paid bundle.

3. Restrictions:

• Licensee may not use the Products for any unlawful or unethical purposes;
• Licensee may not apply for trademark or copyright.

4. Intellectual Property:

All intellectual property rights in and to the Product, including but not limited to copyrights, trademarks, and trade secrets, are and shall remain the exclusive property of Licensor.. This Agreement does not transfer any ownership or copyright rights to Licensee.

5. Termination:

This Agreement may be terminated by either party with written notice if the other party breaches any material terms of this Agreement. Upon termination, Licensee must cease all use and sale of the Product and destroy all copies in its possession.

6. Warranty and Liability:

Licensor provides no warranties, express or implied, with respect to the Product. In no event shall Licensor be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the use or inability to use the Product, even if Licensor has been advised of the possibility of such damages. Furthermore, Licensor holds no liability for issues arising from the use, sale, or distribution of our products. Licensee assumea full responsibility for any issues or disputes that may arise from use of the Product.

7. Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of Canada, without regard to its conflicts of law principles and any disputes shall be exclusively adjudicated by the courts there.

8. Entire Agreement:

This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

9. Acceptance:

By purchasing the Product, Licensee accepts and agrees to be bound by the terms of this Agreement.


IMPORTANT TERMS FOR RESELLING THE CHROMA CREATIONS MRR MEGA BUNDLE

🔴 You are not allowed to resell the Chroma Creations MRR Mega Bundle as-is for a price below $497. This is to ensure that the market is fair for every bundle reseller. If you cannot respect this minimum price requirement please do NOT purchase this bundle.

🔴 You are not allowed to resell the Chroma Creations MRR Mega Bundle with the same name as "Chroma Creations MRR Mega Bundle". This name is the intellectual property of Chroma Creations and cannot be used while reselling.


Liability Limitation

While we strive for high-quality and accurate digital products, their use is at the user's discretion and risk. We're not liable for any direct, indirect, incidental, special, consequential, or punitive damages. This includes loss of profits, revenues, data, use, goodwill, or other intangible losses resulting from:

• Use or inability to use our products.
• Unauthorized access to or use of our secure servers or personal information.
• Errors or inaccuracies in our product content.
• Interruption or cessation of transmission to or from our products.
• Bugs, viruses, or the like transmitted through our products by third parties.
• Errors or omissions in any content or loss/damage due to the use of such content.
• These limitations apply regardless of the legal theory or basis of the claim, and even if the possibility of such damages has been advised.

Indemnification

Users agree to indemnify, defend, and hold us, our affiliates, officers, directors, employees, agents, and licensors from claims, losses, liabilities, expenses, damages, and costs arising from:

• Their use of our products.
• Violation of these terms and conditions.
• Violation of the rights of another person or entity.
• Content they submit, post, transmit, or make available through our products.
